Zee Entertainment had approved the preferential issue of ₹3,143.5 crore worth of fully convertible warrants to promoter group entity Sunbright Mauritius Investments Ltd. However, shortly after, the Securities and Exchange Board of India (SEBI) barred Zee from accessing the securities market for two months and imposed a ₹1.48 crore fine. Additionally, promoters Subhash Chandra and Punit Goenka were banned from subscribing to or dealing in securities for one year over the unauthorised pledge of ZEEL's Hyderabad land to secure promoter-linked loans.
"Within a matter of less than an hour, the voting was turned hollow. It turned out to be a Pyrrhic victory for the promoters who sought to increase their shareholding without setting right the governance lapses of the company, said inGovern in its report, arguing that the warrant issue cannot proceed in its current form while SEBI's directions remain in force. Arguing that the series of events underscore severe governance failures at Zee, inGovern asked minority shareholders to remain vigilant and demand greater transparency and accountability from the Board.
Further, it asked SEBI to clarify that all promoter entities, including Sunbright, are banned from subscribing to securities. Responding to the report, Zee told businessline that the SEBI order has no direct bearing on the fund-raising exercise and is seeking advice from legal experts on the same. "Zee will further take all required steps to successfully complete the fund-raising exercise, which is aimed at strengthening its financial foundation, and will also continue to work towards creating value for its stakeholders.
With regards to the allegations levied against Zee and its Promoters, the required measures in accordance with the law will be taken, to protect the interest of all stakeholders, said a company spokesperson. In its February Corporate Governance Alert, inGovern had flagged the SEBI order as a material governance risk, considering the gravity of the case from a regulatory perspective. However, the company's EGM statement did not adequately disclose the order details or the potential impact on the warrant issue, said inGovern.
"SEBI's order now vindicates our concerns. The regulator's findings on lax disclosures, unauthorised asset pledges, and governance lapses confirm that the Board was complicit with the promoters in downplaying material risks, said inGovern.
